1. Introduction This Vendor Agreement ("Agreement") governs the relationship between CaricomMarket.net ("Marketplace Operator") and you, the vendor ("Vendor"). By registering as a Vendor, you agree to be bound by this Agreement in addition to our general Terms and Conditions.
2. Eligibility Requirements2.1. Vendor must be a registered business entity legally authorized to operate within a CARICOM member state or other approved jurisdiction. 2.2. Vendor must pass KYC/AML (Know Your Customer/Anti-Money Laundering) verification and provide proof of business registration and tax compliance.
3. Product Listings and Representations3.1. Vendor is solely responsible for accuracy and legality of product listings. 3.2. All products must comply with regional, international, and national import/export laws. 3.3. Misrepresentation of goods may result in account suspension or termination.
4. Performance Standards4.1. Vendor agrees to meet defined service levels, including timely shipment, quality assurance, and responsive customer support. 4.2. Failure to comply may lead to penalties, including suspension, fines, or permanent deactivation.
5. Fees and Commission5.1. Vendor agrees to platform fees, including listing fees, subscriptions, and commission rates, as stated in the Vendor Dashboard. 5.2. CaricomMarket.net reserves the right to revise fee structures with 30 days' notice.
6. Payments6.1. Vendor agrees to the use of designated third-party payment providers. 6.2. Payouts are processed on a scheduled basis, subject to fraud and compliance checks. 6.3. Vendor is responsible for all applicable taxes.
7. Intellectual Property7.1. Vendor warrants that they own or have permission to use all content uploaded to the platform. 7.2. Vendor grants CaricomMarket.net a non-exclusive, worldwide license to use such content for promotional purposes.
8. Refunds and Returns8.1. Vendor must clearly display refund and return policies. 8.2. Vendor is solely responsible for honoring such policies. 8.3. Unresolved disputes may be mediated by CaricomMarket.net but final resolution is at the discretion of the Vendor.
9. Compliance and Audit Rights9.1. CaricomMarket.net reserves the right to audit Vendor activities for compliance. 9.2. Vendors found in violation of laws or platform policies will be immediately suspended.
10. Termination10.1. Either party may terminate this Agreement with 30 days' written notice. 10.2. Immediate termination may occur if there is a breach of contract, fraud, or reputational harm.
11. Indemnification Vendor agrees to indemnify and hold harmless CaricomMarket.net, its affiliates, directors, and employees from any claims arising out of Vendor activities on the Platform.
12. Limitation of LiabilityCaricomMarket.net is not liable for indirect or consequential damages. Liability is limited to fees paid by Vendor in the previous 12 months.
13. Jurisdiction This Agreement is governed by the laws of the CARICOM Single Market and Economy (CSME) and the country of registration for the Marketplace Operator.
